Who can be a member?

Membership is open to people from a wide range of backgrounds because governance itself is wide in scope. Our members come from a diverse range of academic and professional fields at all levels of studies.
Membership attracts people from academia, public sector entities, listed and non-listed companies in the private sector and the not-for-profit and charity sectors.

How to become a member

Becoming a member is generally through the completion of the Institute’s online application form and submitting the requisite fees. One must provide proof of the minimum requirements for the chosen membership category. Please click on types of membership for more details on qualifications and the respective charges.

Membership is maintained through continuous professional development programs which include conferences, training, workshops, and seminars.

Membership renewal is done annually.

Application Procedure

Individual & Corporate Membership

All membership applications are to be submitted through  the Online Application Form. The process is simple and seamless as indicated below:

    1. Click on the Online application form link, and fill in all the required information.
    2. Ensure that you pay the relevant  membership fees as per the category you are applying for. Follow this link for more information on fees and charges.
    3. Upload a pdf file containing your cv and academic documents.
    4. For individual membership, upload your most recent passport size photo.
    5. Submit your application form.
    6. M- Pesa  Payment: Use Pay Bill services Business Number is 522522 and the Account Number is 6327117.

Continuous Professional Development(CPD)

Members are encouraged to continuously keep abreast of the current corporate governance landscape and upgrade their skills, knowledge and mindset according to the ICGK Governance Competency Framework and Directors Development Pathway.
The Continuous Professional Development or CPD points is a mechanism to help members to keep track on such effort and CPD points will be issued whenever members are involved in the following activities

  • Attending programs and events organized by ICGK or by other organizations
  • Contributing to the development of directorship professionalism by authoring books, writing articles, speaking engagements, teaching, being a panelist, and being a mentor

Typically, 1 CPD pint is equivalent to 1-hour of training or contributing

ICGK Leadership Coaching

ICGK Leadership Coaching service is a 1-to-1 private session that seeks to support your directorship journey by developing your overall effectiveness, professional and personal development, self-confidence, leadership, relationships, and decision-making. Coaching can be a powerful and focused development tool for senior leaders, especially board directors/ members. It takes leadership development to a deeper and more sustainable level, expands perspective, inspires, and provides challenge and support toward your personal goal.

The skilled and targeted conversations offered by our diverse range of professional coaches, some of whom are board members themselves, can help address emerging challenges and enhance the individual’s performance and impact within their role. From aspiring directors to current directors, senior independent directors to chairman positions, our coaching programs are flexible and highly tailored to meet the evolving needs of all levels of directorship. Any personal goals and doubts can be privately discussed and coached for positive outcomes.

ICGK Code of Conduct

The Code of Conduct clarifies what the ICGK expects of its members and provides for disciplinary measures to be taken against members whose conduct is unacceptable to the ICGK and its mission.
Adherence to the Code of Conduct is a condition of membership – members are liable to face disciplinary action if, after due process, they are found guilty of misconduct which includes any act likely to bring discredit to the member or the Institute.
By joining the ICGK each member undertakes and agrees:

  1. to comply with ICGK’s policies, terms, and conditions applicable to members of the Institute;
  2. to act at all times in such a way so as not to bring themselves or the Institute into disrepute whether in their personal or professional capacity;
  3. to conduct themselves in a professional manner with the highest standards of honesty and integrity, exercising diligence, loyalty, reliability, responsiveness and due care in carrying out their duties and responsibilities, with courtesy and consideration towards others;
  4. to respect the pillars of good corporate governance which are based on the principles of transparency, accountability, fairness and responsibility;
  5. to not act in any way which may be in conflict with the legitimate interests of their employer or the organizations on which they serve, or which would prejudice the performance of their professional duties and shall act with sound judgment and with such reasonable care and skill that can be expected of them;
  6. to comply with:
    a)    all applicable laws and regulations which govern the organizations in which they serve;
    b)    the National Corporate Governance Code, as applicable to the organization(s) in which they serve;
    c)    the written codes of conduct of all organizations with which they are associated; and
    d)    the codes of conduct and the standards of all professions and associations to which they belong;
  7. that they:
    a)    have not been found guilty in any criminal or similar proceeding of fraud, market manipulation, fraudulent misrepresentation, insider trading or other similar offence;
    b)    have not been subject to any penalties or sanctions imposed by a court, regulatory, administrative or self-regulatory body for conduct while acting in the capacity of director or officer of any corporation or in a similar capacity on behalf of any other organization except as disclosed.

    orc)    are not aware of any alleged conduct that might lead to the consequences in (a) or (b) above;
  8. to notify the ICGK as soon as practicable if any of the events described in paragraph (6) above occur subsequent to joining the ICGK and during the term of ICGK membership;
  9. to bear the collective responsibility for preserving the integrity of the Institute by notifying the Institute of any violation of this Code by a fellow member that may jeopardize the reputation or credibility of the membership as a whole;
  10. To respond in a timely manner to any communication from the Institute requesting information or comments in relation to a complaint or suspected breach; and
  11. That the ICGK has the discretion to refuse membership in the ICGK to any person, and to revoke the membership in the ICGK of any person, in appropriate circumstances, including where there has been a breach of the ICGK Member’s Code of Conduct.
